At an extrao The rdinary meeting of the Board, the resignations of Guillermo Ortiz Martínez and Alejandro Valenzuela del Río, who held the respective positions, were accepted.

In a statement, it was specified that Ortiz Martínez will remain in office until December 31, while Valenzuela del Río’s resignation was accepted with immediate effect as of November 20.

Thus, the Board unanimously appointed Carlos Hank González as the new Chairman of the Board, effective January 1, 2015, subject to ratification by the Shareholders’ Meeting, and Marcos Ramírez Miguel as the new Chief Executive Officer, effective this Thursday.

In this regard, Carlos Hank González and the members of the Board of Directors thanked Guillermo Ortiz for his work over almost four years at the helm of the Board, the value generated for shareholders, and the achievements made during this period.

They noted that, from his strategic vision and together with the Board of Directors and the management team, he expanded the financial group’s business participation through the integration of IXE in the Preferred Banking and Financial Markets sector.

In addition, they highlighted that during his tenure, assets under management more than doubled, and earnings per share rose from 1.35 to 1.46 pesos, despite the placement of US$2.5 billion, thus consolidating Banorte’s financial and commercial structure.

The Board also recognized Alejandro Valenzuela’s six years as CEO of the financial group, who in turn thanked the Chairman of the Board, the González family, each of the Directors, and his colleagues at Banorte for their support.

In this regard, Carlos Hank González stated that his purpose in accepting this appointment is to rely on Banorte’s management team to position the institution as the best financial group in Mexico.

Carlos Hank González proposed to the Board of Directors that Guillermo Ortiz continue as Chairman of the Advisory Board, “a consultative body through which he will continue to contribute his experience and knowledge to the financial group.”

He revealed that his commitment to Roberto González Barrera when he was appointed Chairman of the Board was to institutionalize the group by strengthening the Board of Directors and its corporate governance, as well as consolidating Banorte as a strong and growing bank.

Marcos Ramírez Miguel has served as Chief Executive Officer of Wholesale Banking at Grupo Financiero Banorte since 2010.

“The meeting approved Hank González’s appointment with 76% of votes in favor and 21% abstentions; it should be noted that the percentage of abstentions is within the typical range observed in most items voted on at shareholder meetings,” the Mexican bank said in a statement.

A member of a family of businesspeople and politicians, Carlos Hank González left the general management of Grupo Financiero Interacciones to join the Board of Directors of Banorte.

Hank González is a member of the González family, which controls around 11% of Banorte and are the heirs of founder Roberto González Barrera.

His presence at Banorte suggests that the family is seeking to strengthen its position on the board of directors, amid reports of friction with the bank’s current chairman, former central banker Guillermo Ortiz, who took office in 2011.

The Mexican businessman emphasizes that Tesla’s arrival is a historic opportunity for the country and that the bank is ready to support SMEs seeking to set up a cafeteria for employees, offer products such as payroll services, or provide loans to new plant workers.

Hank believes that nearshoring should benefit companies in Mexico and not just in the northern region.

Although forecasts for the Mexican economy show signs of a slowdown in 2023, Hank believes that the arrival of new companies due to the nearshoring phenomenon will help boost the economy.

Banorte plans to invest around 13% of its annual revenue in technology and to provide credit to individuals and companies. In its 2023 guidance, Banorte estimated revenues of between 50.5 billion and 52.5 billion pesos.

“That’s 13% of revenue. The plan will continue to be to increase our revenue and, in the same way, increase investment in the country,” he said.
